Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Microfund mobile application and website (collectively, the "Service"), operated by Microfund ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Eligibility

You must be at least 13 years of age (or 16 in the EEA) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are under 18, you may only use the Service with the involvement and consent of a parent or legal guardian.

2. Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at Microfund@proton.me if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. The Microfund Service

Microfund is a micro-crowdfunding platform that allows users to create campaigns and receive donations of $1 per donor per campaign per 24-hour period.

• Campaign creators may create campaigns by paying a $10 setup fee and agreeing to the campaign rules.
• Donors may contribute $1 per campaign per 24-hour period using their account wallet or credit packs.
• The progress gauge displayed on campaigns shows relative progress; exact donation totals are not publicly disclosed.
• Campaigns run for a maximum of 90 days from activation.
• 100% of donation funds (less any payment processing fees not covered by donors) are disbursed to campaign recipients.

4. Credit Packs and Payments

• Credit packs are purchased in advance and stored in your Microfund wallet.
• Each credit equals one $1 donation.
• Credits are non-refundable once purchased, except as required by applicable law.
• Credits are non-transferable and have no cash value outside the Service.
• Campaign setup fees ($10) are non-refundable.
• All payments are processed by our third-party payment processor. By making a purchase, you agree to that processor's terms and privacy policy.
• We reserve the right to modify pricing with 30 days' notice to existing users.

5. Campaign Rules and Creator Responsibilities

By creating a campaign, you agree to the following:

• Your campaign must be for a legitimate personal or community need.
• All information provided in your campaign (story, photos, goal) must be truthful and accurate.
• You will use campaign funds solely for the stated purpose.
• You are responsible for any tax obligations arising from funds received.
• You grant Microfund a non-exclusive license to display your campaign content (story, photos) on the Service and in promotional materials.
• We reserve the right to remove any campaign that violates these Terms or our Community Guidelines.

5.1 Prohibited Campaigns

You may not create campaigns for:

• Illegal activities or products.
• Hate speech, discrimination, or harassment of any kind.
• Fraudulent, misleading, or deceptive purposes.
• Political campaigns or lobbying.
• Anything that violates our Community Guidelines or applicable law.

6. Prohibited Conduct

When using the Service, you agree not to:

• Violate any applicable law or regulation.
• Create fake or duplicate accounts.
• Manipulate donation counts or campaign metrics through artificial means.
• Spam share links or engage in deceptive promotion.
• Reverse-engineer, decompile, or disassemble the Service.
• Use bots, scrapers, or automated tools to access the Service without permission.
• Upload or transmit malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to other user accounts or our systems.
• Harass, intimidate, or threaten other users.

7. Intellectual Property

The Service, including its design, code, logo, and content (excluding user-generated content), is owned by Microfund and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

You retain ownership of content you submit (campaign stories, photos). By submitting content, you grant us a worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Service.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that campaigns will reach their funding goals. We do not verify the accuracy of campaign claims beyond our standard review. Donations are voluntary and non-refundable.

We are not responsible for the actions of campaign creators or donors. Microfund is a platform provider, not a charity or financial institution.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MICROFUND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) $100 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless Microfund and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your campaign content, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, at our sole discretion. You may delete your account at any time via the app Settings → Account → Delete Account.

Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited upon account termination for cause. Sections 7, 8, 9, 10, 12, and 13 survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.

Informal Resolution: Before filing a formal dispute, you agree to contact us at Microfund@proton.me and attempt to resolve the dispute informally for at least 30 days.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Apple-Specific Terms

If you download the Microfund app from the Apple App Store, the following additional terms apply:

• These Terms are between you and Microfund only, not Apple, Inc.
• Apple has no obligation to provide maintenance or support for the app.
• In the event the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). Apple has no other warranty obligation regarding the app.
• Apple is not responsible for addressing any claims by you or any third party relating to the app or your use of it.
• In the event of any third-party claim that the app infringes intellectual property rights, Microfund is solely responsible for investigating, defending, and settling such claim.
• You must comply with applicable third-party terms when using the app (e.g., your wireless data agreement).
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
